  • Those engagement letters take precedence over this general Terms & Conditions document where service-specific requirements apply.

3. Engagement & Scope of Work

  • Before commencing any professional work, we will:
  • Issue an Engagement Letter
  • Define the scope of services
  • Outline your responsibilities
  • Clarify fees and payment terms
  • Work will only begin once the Engagement Letter has been agreed and signed.

4. Client Responsibilities

  • To deliver accurate and timely services, clients must:
  • Provide complete, accurate financial information
  • Supply records by agreed deadlines
  • Promptly inform us of changes relevant to your accounts
  • Maintain internal controls within your business
  • Approve filings or submissions on time
  • We are not responsible for delays or penalties caused by missing, late, or incorrect information provided by the client.

5. Fees & Payment Terms

  • Our fees will be clearly stated in your Engagement Letter.
  • Unless otherwise agreed:
  • Payment is due upon invoice
  • Monthly service packages are payable in advance
  • Additional work outside the agreed scope may incur extra charges
  • We reserve the right to pause or cease services if invoices remain unpaid.

6. Confidentiality

  • We treat all information shared with us as strictly confidential.
  • We will not disclose your data except:
  • When required by law or regulation
  • When authorised by you
  • When necessary to provide contracted services (e.g., software providers)
  • Your data is handled in accordance with UK GDPR and our Privacy Policy.

7. Limitation of Liability

  • While we take every care in providing accurate and professional services, MC Accountancy Limited will not be liable for:
  • Losses arising from incomplete or inaccurate information supplied to us
  • Penalties or charges resulting from delays outside our control
  • Indirect, special, or consequential losses
  • Loss of profits, revenue, or business opportunities
  • Our total liability is limited to the amount of fees paid for the services provided under the relevant engagement.

  • All outstanding fees must be paid

  • We may also terminate services immediately if we believe continuing the relationship would breach legal, ethical, or professional standards.

11. Third-Party Services

  • Some services may involve third-party tools (e.g., Xero, payroll systems, document portals).
  • We are not responsible for:
  • Errors caused by third-party software
  • Service interruptions
  • Security practices outside our control
  • Clients must comply with any third-party terms where applicable.

12. Changes to These Terms

We may update these Terms & Conditions periodically.

Continued use of our services indicates acceptance of any updated terms.

13. Governing Law

These Terms & Conditions are governed by the laws of England and Wales.
